At the end of the ride the details (such as distance and time spent on the road) are recorded and the rider gets off. No money changes hands, it\u2019s all billed through the rider\u2019s credit card seamlessly; there\u2019s no tipping and no haggling. It\u2019s easy and convenient.<\/p>\n<h4 id=\"fd7a\" class=\"graf graf--h4 graf-after--p\">Now, the real question is what happens to the money that just got billed? To uncover the answer, lets follow the money from a tax point of\u00a0view.<\/h4>\n<p id=\"7e88\" class=\"graf graf--p graf-after--h4\">Let say, the total ride cost was RM100. The total fare is credited and sent across national borders into the account of a company in Netherlands called Uber B.V. (you can see it at the end of your uber invoice that gets sent to you as a rider).<\/p>\n<p id=\"66a0\" class=\"graf graf--p graf-after--p\">This company collects the fare electronically, through Raiser Operations B.V. (another Dutch subsidiary), and sends RM80 (or 80% of the fare) to the driver\u2019s account.<\/p>\n<p id=\"b5d0\" class=\"graf graf--p graf-after--p\">The remainder, $20 enters a complicated network of Dutch offshore companies.<\/p>\n<h4 id=\"17c2\" class=\"graf graf--h4 graf-after--p\"><strong class=\"markup--strong markup--h4-strong\">Why this helps in avoiding\u00a0tax?<\/strong><\/h4>\n<p id=\"67a2\" class=\"graf graf--p graf-after--h4\">Two reasons:<br \/>\n1. There\u2019s no recorded income for Uber in Malaysia (where Kuala Lumpur is), hence, invisible to the inland revenue records in Malaysia.<em class=\"markup--em markup--p-em\">\u00a0Well, the driver being an independent contractor according to Uber has the right to declare his\/her income to pay taxes, but we will come back to this.<\/em><br \/>\n2. Uber B.V. is not uber\u2019s HQ in Silicone Valley, but a Bermuda-registered Dutch subsidiary. Is it Uber\u2019s international arm? nope. That is another Bermuda-registered Dutch subsidiary called Uber International C.V.<\/p>\n<h4 id=\"e21b\" class=\"graf graf--h4 graf-after--p\"><strong class=\"markup--strong markup--h4-strong\">Now, we have cleared that, how do Uber use it to minimise\u00a0tax?<\/strong><\/h4>\n<p id=\"bf97\" class=\"graf graf--p graf-after--h4\">The RM20 that was left from the total RM100 fare gets transferred to Uber International C.V. through an \u201cIntangible Property License Agreement\u201d by Uber B.V. (after keeping a small proportion to the fare to cover its admin expenses).<\/p>\n<p id=\"b33f\" class=\"graf graf--p graf-after--p\">The justification that companies like Uber give for funnelling a huge royalty payment is that the underlying Intellectual Property of Uber (Software, the engine, location data, etc) is what makes Uber successful. Hence, the majority of the profits in the Google\u2019s value chain should be attributed to this IP. Other activities, such as sales, marketing and R&amp;D are deemed as routine and worth significantly less.<\/p>\n<h4 id=\"f00f\" class=\"graf graf--h4 graf-after--p\"><strong class=\"markup--strong markup--h4-strong\">Here\u2019s the kicker: Under Dutch law, ANY royalty payment is NOT\u00a0taxable.<\/strong><\/h4>\n<figure id=\"b455\" class=\"graf graf--figure graf--layoutOutsetLeft graf-after--h4\" data-scroll=\"native\">\n<div class=\"aspectRatioPlaceholder is-locked\">\n<div class=\"aspectRatioPlaceholder-fill\"><\/div>\n<div class=\"progressiveMedia js-progressiveMedia graf-image is-canvasLoaded is-imageLoaded\" data-image-id=\"1*fo92wh361pf6r14tRtc2KQ.gif\" data-width=\"550\" data-height=\"315\" data-action=\"zoom\" data-action-value=\"1*fo92wh361pf6r14tRtc2KQ.gif\" data-scroll=\"native\"><img decoding=\"async\" class=\"progressiveMedia-image js-progressiveMedia-image\" src=\"https:\/\/i0.wp.com\/cdn-images-1.medium.com\/max\/1200\/1*fo92wh361pf6r14tRtc2KQ.gif?w=750&#038;ssl=1\" data-src=\"https:\/\/i0.wp.com\/cdn-images-1.medium.com\/max\/1200\/1*fo92wh361pf6r14tRtc2KQ.gif?w=750&#038;ssl=1\" data-recalc-dims=\"1\" \/><\/div>\n<\/div>\n<\/figure>\n<p id=\"9b45\" class=\"graf graf--p graf-after--figure\">All in all, Uber has 10 subsidiaries in the Netherlands, all of which are situated in a small office building in Amsterdam\u2019s central. Only one of the companies, Uber B.V., has real employees. The rest are holding companies or shells with no employees or furniture.<\/p>\n<p id=\"e075\" class=\"graf graf--p graf-after--p\">The royalty income is now\u200a\u2014\u200alegally\u200a\u2014\u200aoff the grid and is not taxed in Malaysia, in Netherlands or in the United States. (i.e.Google\u2019s parent company), Google saved $3.6 billion in worldwide taxes in 2015 by moving 14.9 billion euros ($15.5 billion) to a Bermuda shell company (Double Dutch with a Bermuda shell company)<\/p>\n<p id=\"3f67\" class=\"graf graf--p graf-after--p\"><strong class=\"markup--strong markup--p-strong\">Facebook<br \/>\n<\/strong>Facebook flipped more than $700 million to the Cayman Islands as part of a \u201cDouble Irish\u201d tax reduction strategy.<\/p>\n<p id=\"33a1\" class=\"graf graf--p graf-after--p\"><strong class=\"markup--strong markup--p-strong\">Apple<\/strong><br \/>\nAccording to\u00a0<a class=\"markup--anchor markup--p-anchor\" href=\"http:\/\/ctj.org\/ctjreports\/2015\/10\/offshore_shell_games_2015.php#executive\" target=\"_blank\" rel=\"noopener noreferrer nofollow noopener\" data-href=\"http:\/\/ctj.org\/ctjreports\/2015\/10\/offshore_shell_games_2015.php#executive\">a study released<\/a>\u00a0last year by the liberal nonprofit groups the Center for Tax Justice and the U.S. Public Interest Research Group Education Fund, Apple has booked $181.1 billion in offshore profits, more than any other company. Yet, it pays a 2.3% effective tax rate on it, according to the study. According to\u00a0<a class=\"markup--anchor markup--p-anchor\" href=\"http:\/\/www.bloomberg.com\/news\/articles\/2015-09-04\/ireland-seen-losing-apple-tax-skirmish-triggering-legal-battle-ie5qis52\" target=\"_blank\" rel=\"noopener noreferrer nofollow noopener\" data-href=\"http:\/\/www.bloomberg.com\/news\/articles\/2015-09-04\/ireland-seen-losing-apple-tax-skirmish-triggering-legal-battle-ie5qis52\">Bloomberg<\/a>, if the Irish government is forced to recoup taxes from Apple, the company may face a $19 billion tab in the worst-case scenario. In response, the company said in a\u00a0<a class=\"markup--anchor markup--p-anchor\" href=\"http:\/\/qz.com\/273631\/how-apple-got-its-2-tax-rate-in-ireland\/\" target=\"_blank\" rel=\"noopener noreferrer nofollow noopener\" data-href=\"http:\/\/qz.com\/273631\/how-apple-got-its-2-tax-rate-in-ireland\/\">2014 report<\/a>\u00a0that it \u201chas received no selective treatment from Irish officials over the years.\u201d<\/p>\n<p id=\"75e9\" class=\"graf graf--p graf-after--p\"><strong class=\"markup--strong markup--p-strong\">And many more, such as Microsoft, Starbucks, Ikea, Amazon, etc.<br \/>\n<\/strong>Everything these companies are doing is legal. It\u2019s avoidance and not evasion.<\/p>\n<h4 id=\"5d9c\" class=\"graf graf--h4 graf-after--p\"><strong class=\"markup--strong markup--h4-strong\">Now, this is where things get ugly for\u00a0Uber:<\/strong><\/h4>\n<ol class=\"postList\">\n<li id=\"cf6e\" class=\"graf graf--li graf-after--h4\"><strong class=\"markup--strong markup--li-strong\">Most Uber drivers don\u2019t pay taxes<br \/>\n<\/strong>Every uber driver is considered as an independent contractor. This means uber drivers are running their own business and is paying uber a small fee (20% of the ride fare) to use their platform. When you are an independent contractor, you are responsible for both halves of payroll taxes. When you are an employee, you are responsible for one half and the employer is responsible for the other half. Again, Uber saves an immense amount of money by passing the tax liability of payroll taxes on to the driver. Additionally, Uber does not have to offer benefits to the independent contractors like they would their employees.<\/li>\n<li id=\"ffc7\" class=\"graf graf--li graf-after--li\"><strong class=\"markup--strong markup--li-strong\">In many markets, Uber has refused to be labelled as a taxi to avoid GST<br \/>\n<\/strong>For example, Uber sued the Australian tax office for forcing Uber riders to pay GST as they are providing \u201ctaxi services\u201d. Uber\u2019s argument is its drivers should not have to pay GST unless they earn more than $75,000 because they are not providing taxi services.<\/li>\n<\/ol>\n<h3 id=\"eec0\" class=\"graf graf--h3 graf-after--li\"><strong class=\"markup--strong markup--h3-strong\">Who is the real\u00a0loser?<\/strong><\/h3>\n<figure id=\"2177\" class=\"graf graf--figure graf-after--h3\">\n<div class=\"aspectRatioPlaceholder is-locked\">\n<div class=\"progressiveMedia js-progressiveMedia graf-image is-canvasLoaded is-imageLoaded\" data-image-id=\"1*wR9IztbtBWYwXIzxvR2KnA.gif\" data-width=\"500\" data-height=\"240\" data-scroll=\"native\"><img decoding=\"async\" class=\"progressiveMedia-image js-progressiveMedia-image\" src=\"https:\/\/i0.wp.com\/cdn-images-1.medium.com\/max\/1600\/1*wR9IztbtBWYwXIzxvR2KnA.gif?w=750&#038;ssl=1\" data-src=\"https:\/\/i0.wp.com\/cdn-images-1.medium.com\/max\/1600\/1*wR9IztbtBWYwXIzxvR2KnA.gif?w=750&#038;ssl=1\" data-recalc-dims=\"1\" \/><\/div>\n<\/div>\n<\/figure>\n<h4 id=\"9fbc\" class=\"graf graf--h4 graf-after--figure\"><strong class=\"markup--strong markup--h4-strong\">You, Me and Our\u00a0Families<\/strong><\/h4>\n<p id=\"9fe5\" class=\"graf graf--p graf-after--h4\">In recent years, three of the top U.S. tech companies have saved over $8 billion dollars in taxes. Had they paid their taxes like the rest of us,4 million children could have health insurance, 6.5 million children could be vaccinated, 200,000 elementary teachers could be hired, a year\u2019s worth of groceries could be purchased for 770,416 families, and the entire California Highway Patrol could be funded for four years.<\/p>\n<h4 id=\"815d\" class=\"graf graf--h4 graf-after--p\"><strong class=\"markup--strong markup--h4-strong\">Other Local Startups and Entrepreneurs<\/strong><\/h4>\n<p id=\"8976\" class=\"graf graf--p graf-after--h4\">These structures, political lobbying and other tax evasion methods employed by the tech giants make it hard for local startups who would like to compete in the same space.<\/p>\n<h3 id=\"f6c9\" class=\"graf graf--h3 graf-after--p\">What Now?<\/h3>\n<p id=\"3975\" class=\"graf graf--p graf-after--h3\">Just when Uber and other tech companies appear to have mastered the tax game,\u00a0<em class=\"markup--em markup--p-em\">the tide is changing.<\/em>\u00a0The Irish government closed the tax loophole that permitted \u201cDouble Irish\u201d tax arrangements in 2015. Companies already using the structure, however, are allowed to continue employing it until the end of 2020.<\/p>\n<blockquote id=\"cbf3\" class=\"graf graf--pullquote graf-after--p\"><p>In 2013, David Cameron said: \u201cWhen some businesses aren\u2019t seen to pay their taxes that\u2019s corrosive to the public trust. Some forms of avoidance have become so aggressive that I think it is right to say these are ethical issues and it is time to call for more responsibility. This is an issue whose time has come\u00a0\u2026 [Multinational companies should] wake up and smell the\u00a0coffee.\u201d<\/p><\/blockquote>\n<h3 id=\"9709\" class=\"graf graf--h3 graf-after--pullquote\">IMHO<\/h3>\n<p id=\"bd7a\" class=\"graf graf--p graf-after--h3 graf--trailing\">I think it&#8217;s time for us\u200a\u2014\u200abeing consumers of these companies\u200a\u2014\u200ato take a stance against these tax practices.
